TSF Law Advises KJTS Group Berhad on Joint Venture Restructuring for District Cooling Projects

TSF Law acted as legal advisor to KJTS Group Berhad in connection with the restructuring of its district cooling project arrangements involving KIP Real Estate Investment Trust.

KJTS Group Berhad, through its wholly-owned subsidiary KJ Technical Services Sdn. Bhd. (“KJTS”) has entered into a novation agreement pursuant to which Lestari Cooling Energy Sdn. Bhd. (“Lestari Cooling Energy”), a joint venture company, will assume the asset ownership and capital investment role for district cooling projects across eight retail malls owned by KIP Real Estate Investment Trust. Under the revised structure, KJTS will continue to be responsible for the retrofit works, chilled water supply, as well as the operations and maintenance of the cooling infrastructure for the malls.

The revised transaction structure is expected to reduce KJTS’ upfront capital commitments, enhance its balance sheet position, and enable the company to scale similar projects through Lestari Cooling Energy as a dedicated investment platform. The restructuring also supports KJTS’ broader strategy to preserve its cash and credit capacity for future growth opportunities while continuing to build long‑term recurring income streams.
